End-User Licence Agreement
This agreement governs use of the bentops software. By installing or using bentops, you accept this agreement. Its French version is the authoritative version, and it is provided to you first.
1. Purpose and acceptance
This End-User Licence Agreement (the "Agreement") is entered into between Bronko Marketing Inc. (the "Publisher"), a company incorporated in Québec, and you, the person who installs or uses the software (the "Licensee"). It governs use of the bentops application and its updates (the "Software"). If you do not accept this Agreement, do not install or use the Software.
2. Definitions
- Software: the bentops application for macOS and Windows, its code, its interface and its documentation.
- Update: any corrective, compatibility or improvement version of the Software made available by the Publisher.
- Authorized device: a personal computer (Mac or Windows) of which the Licensee is the owner or main user.
- Non-commercial personal use: use by a single person for their own needs, including their individual work (self-employed worker, freelancer or employee who uses it as a personal tool), excluding enterprise deployment or resale.
3. Grant of licence
Subject to your compliance with this Agreement, the Publisher grants you a non-exclusive, personal, non-assignable, non-transferable and perpetual licence, for personal and non-commercial use, by a single user.
As the sole user, you may install and use the Software on as many Authorized devices as you wish (for example your desktop computer and your laptop), provided that you are the only person using it. A device shared by several people requires one licence per user.
4. Nature of the licence
The Software is licensed, not sold. You acquire a right to use it, not ownership of the Software. The Publisher retains all rights not expressly granted to you.
5. Restrictions
Except to the extent expressly authorized by law, you agree not to:
- resell, rent, lend, distribute, sublicense or share the Software or your licence;
- use the Software for commercial purposes or for deployment within an organization;
- reverse engineer, decompile or disassemble the Software, except to the extent permitted by a mandatory provision of the law (in particular the interoperability exceptions of the Copyright Act);
- remove or modify ownership notices, trademarks or rights notices.
6. Intellectual property
The Software, its source and object code, its design, its name and its trademarks remain the exclusive property of Bronko Marketing Inc. and are protected by applicable laws. No intellectual property right is transferred to you.
7. Updates and "lifetime" licence
The licence is perpetual: the version you obtained keeps working on a supported version of your operating system, for as long as you wish.
The Publisher may release Updates (corrective, compatibility or improvement) and makes them available to you at no additional cost under your licence. The Publisher does not, however, guarantee any specific duration of future development, nor the perpetual availability of new features. Where applicable, a possible future major version could be offered as a separate upgrade; your current version will remain functional.
To check for the availability of an Update, the Software may query a file hosted by the Publisher. This check does not send any content you create. See the Privacy policy.
8. Your data
bentops is designed "local-first": your data (spaces, projects, tasks, time, notes) is saved on your device. The Publisher has no access to it and assumes no responsibility for it. It is up to you to make your own backups. The Software offers export and backup functions for this purpose.
Optional connection to Claude Code (MCP). The Software offers an optional function, disabled by default, that opens a local bridge allowing a Claude assistant (Claude Code, by Anthropic) to consult and modify your bentops data at your request, in natural language. If, and only if, you enable it, you agree that the data consulted by the assistant is transmitted to Anthropic, PBC for the purpose of processing your requests. This transmission constitutes a communication of personal information outside Québec within the meaning of Law 25: a window explains it to you and collects your consent before any activation, and the date of that consent is recorded. You can disable this connection at any time in Settings; the bridge then stops immediately. As long as the function remains disabled, no data leaves your device as a result.
Information concerning third parties. Some optional functions of the Software let you record information that concerns people other than yourself: a person's name in a note, a follow-up or a meeting report, a client's contact details in the Billing module, the events of a calendar you connect, and, inside Day memory, the name and number of the people you speak with if you enable "Calls and messages" (feature available on macOS only). This information stays on your device and the Publisher never receives it. If you operate an enterprise, you, and not the Publisher, are the person responsible for that information within the meaning of Law 25, including as regards the obligations that apply when you choose to communicate it outside Québec, in particular by enabling the connection described in the preceding paragraph. The Software helps you limit that communication: the Billing module and the Vault are unreachable through this bridge, the address of your connected calendars is not exposed there, and the identity of the people you speak with is replaced by a local identifier, unless you expressly choose otherwise.
9. Legal warranty
The Software is provided with the Publisher's reasonable care. Subject to the applicable legal warranties, in particular those provided by Québec's Consumer Protection Act and by the Civil Code of Québec, which are not derogated from, the Software is provided without any other express or implied warranty as to its fitness for a particular purpose. No provision of this Agreement has the effect of excluding the legal warranties that a consumer benefits from.
10. Limitation of liability
To the extent permitted by law, the Publisher's liability under this Agreement is limited to the amount you paid for the licence. The Publisher is not liable for indirect damages, in particular loss of data or profits. These limitations do not apply where the law prohibits them, in particular in the event of bodily injury or intentional or gross fault, nor do they reduce a consumer's rights under the Consumer Protection Act.
11. Termination
The licence ends automatically if you fail to meet an essential obligation of this Agreement, in particular the restrictions in section 5. When the licence ends, you must cease all use of the Software and uninstall it. The sections that, by their nature, must survive (intellectual property, limitation of liability, governing law) remain in force.
12. Governing law and forum
This Agreement is governed by the law applicable in the province of Québec and by the laws of Canada applicable there. Any dispute falls under the jurisdiction of the courts of Québec. If you are a consumer, this clause does not deprive you of the right to bring proceedings before the court of your place of residence where the law allows.
13. Language
This Agreement is drafted in French, and its French version is authoritative. A translation into another language, if provided, is provided for convenience only.
14. Miscellaneous
If a clause is found invalid, the other clauses remain in force. This Agreement constitutes the entire agreement between you and the Publisher regarding the Software. The Publisher may modify this Agreement for future versions of the Software; the applicable version is the one accepted at the time of your purchase.
